The Singapore Family Office: Why an Exemption Does Not Answer the Residency Question

2026-07-29

"I want to relocate and reduce my tax burden — does setting up a family office in Singapore solve it?" We are asked this constantly in conversations about repositioning assets internationally. Before answering, two questions have to be separated. First: is this income exempt under Singapore's tax system? Second: does the country where you currently reside still have taxing rights over it? These belong to different regimes, and settling the first does not dispose of the second.

The Exemptions Attach to Where a Fund Is Managed

Two provisions of Singapore's Income Tax Act 1947 are routinely cited in family office design. Their statutory headings state their reach plainly.

ProvisionWhat the statutory heading coversStructural implication
Section 13OExemption of income of a company incorporated in and resident in Singapore arising from funds managed by a fund manager in SingaporePresupposes both that the entity is a Singapore company and that the management occurs in Singapore
Section 13UExemption of income arising from funds managed by a fund manager in SingaporeDoes not limit the entity's place of incorporation on the face of the heading, but shares the requirement that management occur in Singapore

The element common to both is that the fund is managed in Singapore. This is not an exemption obtained by incorporating an entity; it presupposes that the substance of the management function is located there. What is being tested is not where the vehicle sits, but where decisions are made and work is done.

The specific conditions attached to these regimes — assets under management, professional staffing, local business expenditure — are set not by the Act itself but by the supervisory authority's administrative criteria, and they are revised over time. What is needed at the early stage of any assessment is therefore not a memorised threshold but a judgement: is there a genuine willingness to put substance on the ground? The prevailing requirements should be confirmed case by case at the point of commitment.

What Is Exempted Is Singapore Tax

This is the structural heart of the matter. Sections 13O and 13U exempt income from Singapore taxation. So long as the settlor or investor remains resident in another country, that country's taxing rights are entirely unaffected by these provisions.

Take an individual who is a Chinese tax resident establishing a fund in Singapore. Article 1 of China's Individual Income Tax Law treats as a resident individual any person domiciled in China, or not domiciled but present in China for an aggregate of 183 days within a tax year, and provides that a resident individual pays individual income tax under that Law on income derived from both inside and outside China. That the income arises in Singapore does not alter the obligation.

Article 8(1)(ii) goes further: where an enterprise established in a country or region with a markedly low effective tax burden is controlled by a resident individual, or jointly controlled by a resident individual and a resident enterprise, and — without reasonable business need — does not distribute or reduces distribution of profits attributable to that resident individual, the tax authorities are empowered to make an adjustment by reasonable methods. Under the second paragraph of the same article, where an adjustment results in additional tax, that tax is collected together with interest. In other words, the very design of "it is exempt locally, so we do not distribute" sits squarely within the scope these rules anticipate.

Article 7, by contrast, allows a resident individual to credit individual income tax already paid abroad against tax payable on that foreign income, capped at the tax computed on that income under the Law. Relief from double taxation exists — but it operates for those who file properly.

Relocating and Changing Tax Residence Are Not the Same Thing

The sequence for assessing a family office is therefore the reverse of what most people assume. The starting point is not the exemption in the destination; it is the rules on the way out.

  • Which country are you currently a tax resident of? The test is one of substance, not form.
  • Is there both the intention and the substance to change that status? Without actually moving the centre of your life, the destination's exemption does not operate.
  • Does departure itself trigger taxation or filing obligations? Leaving a country of residence often carries its own rules at the point of exit.

Singapore's exemptions are situated mid-route, not at the destination. Before deciding where you are going, establish where you are leaving from — cross-border wealth structuring can only be designed in that order.
